Terms and Conditions
These terms and conditions were last updated on 01 November 2012
1. Our Intellectual Copyright:
We will hold intellectual copyright of any material, including any source code and original images created for the client until payment of the final invoice. At this time it will become the property of the client.
2. Clients Responsibilities with Regard to Copyright:
In situations where the client provides images, text and animations for their website they are legally responsible for ensuring that this material does not infringe any copyright. Certain images provided by us in the construction of the website may have been purchased under licence from stock image suppliers. These images are generally only licensed for use on a single website and may not be used in publicity material. The website owner is legally responsible for ensuring that this does not happen. If you wish to use any images from the site for other purposes please contact us for clarification.
3. Limitation of liability/indemnification:
Neither party will be liable to the other for special, indirect or consequential damages incurred or suffered by the other arising as a result of or related to the performance our work, whether in contract or otherwise, even if the other has been advised of the possibility of such loss or damages. Our total liability under these conditions with respect to the work, regardless of cause or theory of recovery, will not exceed the total amount of fees paid by the client to us.
4. Search Engine Promotion:
We are not by default responsible for the client’s on-going web site promotion. If the client requires the site to be promoted on an ongoing basis a separate contract must be agreed. The order in which websites are ranked in the search results is controlled by the search engines. We will endeavour to ensure that your site is successful in the search rankings through various methods. However, search engines frequently change their retrieval methods and we cannot be held responsible for future rankings unless otherwise agreed.
Should the client wish to cancel a project at any point during the process they shall remain liable for the work that has been invoiced.
The price quoted to the client is for the work agreed on the quotation only. Should the client decide that changes are required after work on the website commences, then we will accept these changes with the provision that additional charges may have to be negotiated.
7. Advance Payment:
Deposit payments will be clearly stated on Invoice.
8. Payment terms:
We accept payment via bank transfer or cheque. If a site is hosted with us, then payment is due upon the site going ‘live’. If payment is not received by this point, then we reserve the right to suspend the site until payment is received in full. If the site is hosted externally, then payment is due in full before the code and site design can be released for upload to your hosting server.
If a discount is offered and appears on Invoice it is imperative that Payment Terms are strictly met as non payment will result in the discount being withdrawn and the full amount becoming due.
10. Future work:
The website is provided to and accepted by the client as a fully functioning, completed work. By agreeing for the site to go ‘live’, the client is accepting that they are fully satisfied with the site. Any future structural or design changes to the site may require the issuing of a new quotation.
11. Compliance with Ecommerce, Accessibility or Other Regulations:
We design websites in accordance with the client’s specifications. It is the client’s responsibility to ensure that the website and its content comply with current regulations. We cannot accept responsibility for any failure to comply with regulations related to accessibility, selling online or regulations related to a specific business or trade. We recommend that where compliance related to any website or business is complex it may be necessary for the client to take legal advice from their solicitor.
12. Web Hosting:
Clients may choose to host their websites with us, if this is the case then payment is due quarterly in advance on a rolling yearly contract. If web hosting is not cancelled by 1 November then a new yearly contract is automatically entered for the following year. Web hosting cannot be cancelled midway through a year without the full remaining value of the contract becoming immediately due.
Medway Design Studios expressly reserves the right to terminate or suspend the customer's account without prior notice should the customer fail to comply with these Terms and Conditions or fail to pay an invoice in full as in the stated payment terms as displayed on the invoice or should Medway Design Studios deem such action necessary to protect Medway Design Studios and in such circumstances Medway Design Studios will confirm such termination or suspension by subsequent notice.
14. Exclusion of liability:
To the maximum extent permitted by law Medway Design Studios excludes liability for any loss, claim, damages or any special, consequential, exemplary or punitive damages (whether directly or indirectly incurred) of any kind arising out of or in connection with any visitor's or user's access to, or use of our website, any material within our website, our services, whether based in contract, tort or whether negligent or otherwise, even if Medway Design Studios has been advised of the possibility of such damage.
These terms & conditions shall be interpreted, construed and enforced in accordance with English law and shall be subject to the exclusive jurisdiction of the English Courts.
Our aim is to safeguard our clients' privacy whilst providing a personalised and valuable service. Collecting personal information is necessary if we are to satisfy the expectations and requirements of our clients, e.g. by communicating with them and providing an interactive service.
We appreciate that you do not want the personal information you provide to us distributed indiscriminately and here we explain what information we collect, what we do with it and what controls you have.
